This public policy states external rights and responsibilities without publishing nonpublic implementation, security, data source, or commercial details. Customer-specific commitments and negotiated terms may appear in an executed agreement and control where stated.
1. Acceptance and contracting priority
By accessing or using a MegaHuddle service, creating an account, or clicking to accept these Terms, you agree to them for yourself and, if applicable, the organization you represent. You represent that you have authority to bind that organization. If you do not agree, do not use the services.
A signed order form, master services agreement, data processing addendum, service level agreement, or other written agreement may add to or replace portions of these Terms. In a conflict, the signed agreement controls for its subject matter, followed by these Terms, referenced policies, and product documentation, in that order unless the signed agreement states otherwise.
3. Public materials, previews, and production services
Public marketing pages, sample products, mock data, screenshots, demonstrations, roadmaps, and previews illustrate intended capabilities. They are not commitments that a feature, source, right, data set, integration, service level, or delivery method is available in production.
Production access depends on the applicable agreement, approved source rights, authorized configuration, and service availability. MegaHuddle may restrict, redact, delay, or withhold a response when required authority or conditions are absent.
4. Limited right to use the services
Subject to these Terms and any applicable order, MegaHuddle grants the customer a limited, non-exclusive, non-transferable, non-sublicensable right during the authorized term to access and use the services for approved internal purposes and delivery surfaces. No rights are granted by implication.
You may not copy, resell, white-label, syndicate, publicly display, export, or create a competing service from MegaHuddle materials, outputs, interfaces, or source content except as an applicable agreement and source policy expressly permit.
5. Customer content and connected sources
You retain rights you lawfully hold in information and materials you submit or connect. You grant MegaHuddle and its processors a limited right to host, transmit, transform, resolve, analyze, display, and otherwise process that material as necessary to provide, secure, support, and improve the contracted service and as otherwise directed in writing.
You represent that you have the permissions, notices, legal bases, and contractual rights required to provide or connect the material and to instruct MegaHuddle to process it. Data Source terms, attribution duties, territorial limits, retention limits, deletion duties, privacy restrictions, and delivery restrictions continue to apply. MegaHuddle does not grant rights owned by a league, team, athlete, publisher, platform, data source, or other third party.
6. AI and intelligence outputs
Some features use automated methods to summarize, rank, classify, resolve, predict, or recommend. Outputs may be incomplete, probabilistic, time-sensitive, or incorrect and must be evaluated with the accompanying source, freshness, confidence, and policy context. You are responsible for human review appropriate to the intended use.
Do not use MegaHuddle outputs as the sole basis for employment, eligibility, credit, insurance, healthcare, legal, gambling, or other decisions that produce legal or similarly significant effects about a person. Do not represent generated or modeled information as verified fact when the product labels it otherwise.
7. Acceptable use and platform integrity
You must comply with the Acceptable Use Policy and may not bypass access, source, policy, activation, rate, geographic, export, or tenant controls; probe or disrupt the service; introduce malicious code; scrape or automate access beyond documented interfaces; reverse engineer except where law prohibits restriction; remove notices or attribution; misuse personal information; or infringe rights.
You may not use the services to train a competing model or product, reconstruct restricted source content, identify a person from de-identified data, or falsely imply endorsement, sponsorship, official status, or production readiness.
8. Fees, taxes, and orders
Fees, usage allowances, billing dates, renewal terms, taxes, and cancellation rights are stated in the applicable order. Unless the order states otherwise, fees are non-cancelable and non-refundable to the extent permitted by law, and undisputed overdue amounts may result in suspension after required notice.
Third-party data, cloud, marketplace, messaging, media, or usage charges may be separately billed or passed through when authorized. Estimates and public pricing are informational until included in an executed order.
9. Intellectual property and feedback
MegaHuddle and its licensors own the services, software, designs, documentation, models, taxonomies, methods, trademarks, and other materials, excluding customer content and third-party source material. These Terms do not transfer ownership.
If you voluntarily provide feedback, you grant MegaHuddle a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate it without restriction or attribution, provided MegaHuddle does not publicly identify you as the source without permission.
10. Confidentiality, privacy, and security
Each party must protect nonpublic information received from the other with reasonable care and use it only for the relationship, subject to customary exceptions for information independently developed, lawfully received, publicly available without breach, or required to be disclosed by law.
The Privacy Policy explains MegaHuddle’s processing as a controller. Customer-controlled personal information is governed by the applicable agreement and data processing terms. You remain responsible for configuring access, integrations, delivery targets, and retention consistent with your obligations.
11. Third-party services
The services may interoperate with third-party platforms, data sources, links, or applications. Third parties control their own services, terms, content, availability, and security. MegaHuddle is not responsible for a third-party service merely because an integration or link is available. Changes by a data source may require MegaHuddle to modify, suspend, or discontinue an integration.
12. Suspension and termination
MegaHuddle may suspend or limit access when reasonably necessary to address a security threat, unlawful use, material breach, overdue undisputed payment, data source restriction, lack of authority, or risk to the services or others. Where practicable and lawful, MegaHuddle will provide notice and an opportunity to cure.
Upon termination, the right to use the services ends. Provisions that by their nature should survive, including ownership, confidentiality, accrued payment, restrictions, disclaimers, limitations, indemnity, and dispute terms, remain effective. Data return and deletion are governed by the applicable agreement and law.
13. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PUBLIC MATERIALS, PREVIEWS, AND SERVICES PROVIDED WITHOUT A SEPARATE WARRANTY ARE OFFERED “AS IS” AND “AS AVAILABLE.” MEGAHUDDLE DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
MegaHuddle does not warrant that every source, output, prediction, integration, or service will be uninterrupted, error-free, complete, current, or suitable for a particular decision. Nothing in these Terms excludes a warranty that cannot lawfully be excluded.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.
UNLESS A SIGNED AGREEMENT PROVIDES A DIFFERENT CAP, EACH PARTY’S AGGREGATE LIABILITY ARISING FROM THE SERVICES WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS OR THE FEES PAID OR PAYABLE FOR THE AFFECTED SERVICES DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THE LIMITS DO NOT APPLY WHERE PROHIBITED BY LAW or to liability that an applicable signed agreement expressly excludes from the cap.
15. Indemnification
To the extent permitted by law and unless a signed agreement provides otherwise, you will defend and indemnify MegaHuddle and its affiliates, personnel, and licensors from third-party claims arising from your customer content, connected-source instructions, unlawful or unauthorized use, material breach of these Terms, or infringement caused by material you provide. MegaHuddle will provide reasonable notice and cooperation, and you may not settle a claim in a manner that admits fault or imposes nonmonetary obligations on MegaHuddle without written consent.
16. Governing terms and general provisions
The governing law, forum, and dispute process in an applicable signed agreement control. Otherwise, these Terms are governed by applicable United States federal law and the law of the jurisdiction in which MegaHuddle’s contracting entity has its principal place of business, without regard to conflicts principles, and claims must be brought in a court with lawful jurisdiction over that entity and dispute.
You must comply with applicable export, sanctions, anti-corruption, and trade laws. Neither party is liable for delay caused by events beyond reasonable control, except payment obligations. You may not assign these Terms without consent except in connection with a qualifying reorganization or sale; MegaHuddle may assign them to an affiliate or successor. If a provision is unenforceable it will be limited to the minimum extent necessary, and the remainder remains effective. A waiver must be written. These Terms and incorporated documents are the entire agreement for their subject matter.
17. Changes and contact
MegaHuddle may update these Terms prospectively. Material changes will receive reasonable notice when required. Continued use after the effective date constitutes acceptance where permitted; if you do not agree, stop using the affected service before the change takes effect.
Questions about these Terms should be submitted through the Terms inquiry link below. Do not send credentials, confidential source material, or unnecessary personal information through the public form.
